Soho, September 23rd, 1808.
Dear Sir,
In framing my proposal to you, I particularly adverted to the future engagement with Mr. Glyn or your successor, concieving it an important point in our arrangements. Upon the principle which you proposed to adopt in this respect, our interests would not be completely cimented, an essential desideratum in every connexion similar to that which is proposed between us. Thus, in the event of any modification of the agent's remuneration becoming necessary, either by the decease of Mr. Glyn or other unforeseen contingency, you would have, in the adjustment of a new agreement, a seperate interest to consult from that of the firm. In many other transactions such a disunion of interest might have a prejudicial tendency, and I must candidly avow to you that the objections which I originally foresaw to such an arrangement and which induced me to bring this point particularly before your consideration are strengthened upon the mature reflexion which your suggestion has occasioned.
You will observe that, in the estimation of the emoluments of the situation which I proposed to you, I have not calculated upon the saving which may arise from this source, intending, if any should accrue, that you should proportionably benefit from it, as from the other contingencies of the business. Of this you will be readily convinced when the ground of my calculations is laid before you, and I trust likewise, which is not very usual in modern negotiations, that you will have reason to be more satisfied with the ratification of the agreement than with the overtures.
The outline of the forms which you propose for Mr. Glyn's engagement would in other respects meet my ideas, viz. a percentage, to yield upon the average of the late year's sales the emoluments you propose; and if, as I hope will be the case, after this explanation we are agreed upon the principle of the agreement, I should wish you to mention the proposals to Mr. Glyn and to have them carried into effect as soon as his concurrence is signified.
