Fenchurch Street Feby. 4th 1833. My dear Sirs, I beg to send you on the other side a Draft Copy of the Deed of Trust, by which we propose to carry into effect the Instructions given us by your Letter of the 28th. of January, and I believe you will find your Intentions, as expressed in that Letter, strictly complied with. It merely occurs to me to draw your Attention to Mrs. Mosley's Interest in the proposed Fund, which I conclude you mean to limit to two Years, and not under any Circumstances, to Extend to the period of her Life. I have not filled in the Names of the Trustees, because it may have occurred to you to think of others than ourselves. You will of course deal with us as you please, and if it should still be your Wish to nominate Mr Teesdale & myself, you may be desirous of naming a third Trustee, which in Settlements of Money is always best, lest one should die. On hearing from you, the Deed shall be immediately Ingrossed & sent you to be Executed, and then a Copy shall be inclosed to Mrs. Mosley as you direct. Any Alteration that you may desire can readily be made in the Deed. I am, my dear Sirs, your much obliged and faithful Servant, Jno Coles Symes Messrs. Boulton Watt & Co. Soho. PS. This Indenture made the day of 1833 Between Matthew Robinson Boulton & James Watt both of Soho near Birmingham in the County of Warwick Esqrs. & Copartners as Merchants in the late firm of M R Boulton Jas. Watt & Co. of the one part and A B of & C D of the other part Whereas John Mosley of London Street in the City of London Gent. dec'ed was for many Years previous to & at the time of his death which happened on or about the 15th day of August last employed & engaged by the said M R Boulton & Jas. Watt as their Agent in and about the management of their affairs in London and the said John Mosley as such Agent had the control & arrangement of the Cash concerns of the sd. late Firm in London and from Time to Time in the usual Course of business received and paid large Sums of Money on Account of the said Firm And whereas the sd. John Mosley at the time of his decease was indebted to the said M R Boulton & James Watt in the Sum of £3000 and upwards for the balance of his the sd. John Mosley's Account with his sd. Employers in respect of his said receipts and payments and which said Balance hath since been paid to the sd. M R Boulton & James Watt By Martha Mosley the Widow & Admrix of the sd. John Mosley And whereas the said John Mosley hath left by the said Martha Mosley his late Wife & now Widow 4 Children namely Martha Mosley the Younger Frances Fothergill Mosley, Elizabeth Martha Mosley, and Mary Lucas Mosley all of whom are unmarried And whereas the sd. M R Boulton and James Watt have determined to make some provision for the family of the said John Mosley subject to such power of Revocation as hereinafter expressed & they have accordingly upon or shortly before the execution of these presents invested the sum of £1500 Sterling out of their Partnership monies in the Purchase of £ Bank Anns. in the joint names of the sd. A B & C D who have upon the request of the sd. M R Boulton & J Watt consented and agreed to act as Trustees for the purposes of the Settlement hereby intended to be made and the sd. £ Bank Ann'ies are now standing in the joint names of the said A B and C D in the books of the Governor and Company of the Bank of England kept for entering transfers of such Stock as the said A B & C D do hereby admit & acknowledge Now this Indenture witnesseth that in pursuance of such determination & for carrying the same into effect It is hereby agreed & declared by & between the said parties hereto and the sd. M R Boulton & Jas. Watt do hereby direct and appoint & the sd. A B & C D do hereby consent & agree That they the sd. A B & C D their Ex'ors & adm'ors shall stand and be poss'ed of & interested in the sd. £ Bank ann'ies Upon the sevl. Trusts and subject to the power provisoes declarations & agreements hereinafter contained (that is to say) Upon Trust to pay the Dividends & Annual Income of the sd. £ Bank ann'ies unto the said Martha Mosley Wo. or o'wise to authorize permit or suffer her or them to receive and enjoy the same for the space of 2 Years computed from the day of the date hereof if she the said Martha Mosley Widow shall so long live and subject thereto the said £ Bank ann'ies shall be In Trust for and shall be transferred to the said Martha Mosley the Yor., Frances Fothergill Mosley, Elizabeth Martha Mosley & Mary Lucas Mosley, or such of them as shall be living at the expiration of the said Term of 2 Years or on the decease of the said Martha Mosley Wo. which shall first happen and to be equally divided between & amongst them share & share alike (if more than one) & for their resp'ive Ex'ors & adm'ors Provided always and it is hereby agreed & declared that during the said period of 2 Years to be computed from the day of the date of these presents in case the said Martha Mosley Widow shall so long live it shall be lawful for the said M R Boulton & Jas. Watt during their joint lives by any Deed or Instrument in Writing to be signed by them in the presence of and attested by two or more Credible Witnesses or for the Survivor of them the said M R Boulton & Jas. Watt by any such Deed or Instrument in Writing to be signed and attested as last aforesaid to revoke annul and make void all or any of the Trusts and Provisions herein before expressed and declared concerning the sd. £ Bank ann'ies & divds. & Annl. Income thereof or of any part thereof resp'ively and by the same Deed or Instrument in Writing to create and declare any other Trusts & Provisions concerning the same in lieu of the Trusts & Provisions hereby declared or any of them anything hereinbefore contained to the contrary in anywise notwithstanding In Witness &c.
